These Terms of Use (“Terms”) govern your access to and use of the Gugu mobile application, website, and related services (collectively, the “Services”) provided by Guguworks LLC (“Gugu,” “Guguworks,” “we,” “us,” or “our”).

By accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, you must not use the Services.

 

1. About GuguGugu

 

is an audio-analysis service designed to help parents, legal guardians, and authorized caregivers analyze baby-related sounds and receive informational results, such as likely need categories, confidence indicators, result history, and related app features.Gugu is intended for use by adults. Gugu is not intended for direct use by children.

 

2. Eligibility and authority

 

You may use Gugu only if:you are at least 18 years old or the age of legal majority in your jurisdiction;you are legally able to enter into a binding agreement;you are a parent, legal guardian, caregiver, or otherwise lawfully authorized to submit recordings or information relating to a child; andyour use of the Services complies with applicable law.

 

By submitting audio or other information relating to a child, you confirm that you are authorized to do so.

 

3. Important safety and medical disclaimer

 

Gugu is provided for informational purposes only.

 

Gugu is not a medical device, does not provide medical advice, does not diagnose, treat, prevent, or cure any disease or medical condition, and is not a substitute for professional medical judgment, pediatric care, emergency services, or parental/caregiver supervision.

 

Gugu’s results may be incomplete, inaccurate, delayed, or unsuitable for a particular situation. You are responsible for deciding how to use any result generated by the Services.

 

If a child may be in distress, injured, unresponsive, having trouble breathing, unusually lethargic, dehydrated, feverish, or otherwise in need of urgent attention, do not rely on Gugu. Contact emergency services or a qualified healthcare professional immediately.

 

4. Audio processing

 

Gugu currently processes audio on its servers. When you submit a recording for analysis, the audio file is sent from your device to Gugu’s servers or infrastructure providers. The server processes the audio, derives technical representations such as spectrograms or audio features, runs analysis models, and returns a result to the app.

 

This means that audio leaves your device when you use the analysis feature.

 

5. Help improve Gugu

 

Gugu may provide a setting called “Help improve Gugu.”

 

When this setting is enabled, Gugu may store uploaded recordings, results, labels, annotations, spectrograms, embeddings, confidence scores, and other derived audio features to test, train, evaluate, and improve Gugu’s baby-sound models and related services.

 

This improvement process may include automated processing and review of selected recordings or related results by trained personnel or service providers for labeling, quality assurance, support, safety, and model improvement.

 

Unless otherwise stated in the app or required by local law, Help improve Gugu may be enabled by default. You can disable it in the app settings.

 

If you disable Help improve Gugu, Gugu will still upload audio for analysis, but raw recordings should not be kept after the result is generated or used for model improvement or ordinary trained review, except for short-lived technical processing, security, debugging, retries, legal compliance, protection of the Services, or enforcement of these Terms.

6. Your account

 

You may need to create an account to use some or all features of the Services. You agree to provide accurate, current, and complete information and to keep your account credentials secure.

 

You are responsible for activity that occurs through your account and for promptly notifying us if you suspect unauthorized access or misuse.

 

7. Your content

 

You may submit or generate content through the Services, including audio recordings, saved clips, notes, text, labels, feedback, support messages, images, and related metadata (“User Content”).

 

You retain ownership of your User Content, subject to the rights you grant to Gugu in these Terms and as described in the Privacy Policy.

 

You represent and warrant that:you have all rights, permissions, and authority necessary to submit User Content;your User Content does not violate applicable law or the rights of any third party;where User Content relates to a child, you are authorized to provide it; andyour use of the Services will not violate privacy, data protection, child protection, consumer protection, or other applicable laws.

 

8. License you grant to Gugu

 

To operate, secure, maintain, and improve the Services, you grant Gugu a limited, non-exclusive, worldwide license to host, store, reproduce, process, transmit, analyze, adapt, create technical representations of, and otherwise use your User Content as necessary to:provide the Services you request;process recordings and return app results;maintain your account, settings, saved items, and history;secure the Services and prevent fraud, abuse, or technical problems;debug, maintain, and improve service reliability;comply with legal obligations;enforce these Terms; andcarry out model-improvement, quality, support, safety, or trained-review workflows where permitted by your settings, our Privacy Policy, and applicable law.

 

This license ends when your User Content is deleted from the live Services, except to the extent continued retention is reasonably necessary for backups, security, fraud prevention, legal compliance, dispute resolution, enforcement of these Terms, or as otherwise described in the Privacy Policy.

 

9. App results

 

Gugu may generate categories, labels, scores, confidence indicators, summaries, or other outputs based on submitted audio and related inputs.

 

These outputs are probabilistic and may be inaccurate. Gugu does not guarantee that any result will correctly identify a baby’s need, condition, state, or situation.

 

You remain fully responsible for supervising and caring for any child.

 

10. Acceptable use

 

You agree not to:use Gugu for unlawful, harmful, deceptive, abusive, or unauthorized purposes;upload recordings or other content you are not authorized to provide;use Gugu as emergency support or as a replacement for medical care;interfere with, disrupt, overload, or compromise the Services;probe, scan, or test vulnerabilities without authorization;bypass, disable, or interfere with security, access, or usage controls;reverse engineer, decompile, disassemble, or attempt to extract source code, model logic, or proprietary systems except where such restrictions are prohibited by law;use the Services to build or train a competing product by improper means;misuse support, reporting, privacy, or deletion tools;violate the privacy, intellectual property, or other rights of others; oruse the Services in a way that creates legal, safety, or security risk for Gugu, users, children, or third parties.

 

11. Paid features and subscriptions

 

Some features may require payment, subscription, or in-app purchase. Prices, billing frequency, renewal terms, cancellation rights, and other purchase terms will be shown at the time of purchase.

 

If you purchase through Apple or another app-store provider, billing, cancellation, and refund handling may also be governed by that provider’s terms and policies.

 

Except where required by law or by the applicable app-store rules, payments are non-refundable once charged.

 

12. Beta, preview, and experimental features

 

Gugu may offer beta, preview, experimental, or early-access features. These features may be incomplete, unstable, inaccurate, changed, limited, or discontinued at any time.

 

13. Intellectual property

 

The Services, including software, models, designs, logos, branding, interfaces, documentation, text, graphics, and other materials, are owned by Gugu or its licensors and are protected by intellectual property laws.

 

Except for the limited right to use the Services in accordance with these Terms, no rights are granted to you.

 

14. Third-party services

 

The Services may rely on or interoperate with third-party services, including cloud hosting, storage, databases, analytics, crash reporting, authentication, customer support, payment processing, and app-store infrastructure.

 

Gugu is not responsible for third-party services except as required by applicable law. Your use of third-party services may be subject to their own terms and privacy policies.

 

15. Privacy

 

Your use of the Services is governed by our Privacy Policy, which explains how we collect, use, store, share, retain, and delete personal data.

 

Because Gugu processes baby-related audio and related data, you should review the Privacy Policy carefully before using the Services.

 

16. Suspension and termination

 

Gugu may suspend, limit, or terminate your access to the Services if:you violate these Terms;your use creates legal, privacy, safety, security, operational, or reputational risk;we reasonably suspect abuse, fraud, misuse, or unauthorized activity;continued access would violate applicable law or third-party rights; orwe are required to do so by law, regulation, court order, platform rule, or government request.You may stop using the Services at any time.

 

You may request account deletion as described in the Privacy Policy.

 

17. Changes to the Services

 

Gugu may modify, suspend, discontinue, or limit any part of the Services at any time, including features, models, availability, pricing, or supported regions.

 

We are not liable for any modification, suspension, discontinuation, or limitation of the Services, except where required by law.

 

18. Changes to these Terms

 

We may update these Terms from time to time. If changes are material, we will provide notice as required by law, such as through the app, website, email, or another appropriate method.

 

Your continued use of the Services after updated Terms become effective means that you accept the updated Terms.

 

19. Disclaimer of warranties

 

To the fullest extent permitted by law, the Services are provided “as is” and “as available.”

 

Gugu disclaims all warranties, express or implied, including warranties of accuracy, reliability, availability, merchantability, fitness for a particular purpose, non-infringement, and suitability for medical, safety, or emergency purposes.

 

Gugu does not warrant that: the Services will be uninterrupted, secure, or error-free; any result will be accurate, complete, reliable, or suitable for a particular situation; the Services will identify every baby need, sound, risk, or condition; the Services will be available in every location or at all times; or the Services will meet your expectations or requirements.

 

20. Limitation of liability

 

To the fullest extent permitted by law, Guguworks LLC and its affiliates, officers, directors, employees, contractors, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, data, goodwill, business opportunities, or anticipated savings, arising out of or related to your use of or inability to use the Services.

 

To the fullest extent permitted by law, Gugu’s total liability for any claim arising out of or relating to the Services or these Terms will not exceed the greater of: the amount you paid to Gugu for the Services in the 12 months before the event giving rise to the claim; or USD 100.Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

 

21. Indemnity

 

To the extent permitted by law, you agree to indemnify and hold harmless Guguworks LLC and its affiliates, officers, directors, employees, contractors, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:your User Content;your misuse of the Services;your violation of these Terms;your violation of applicable law; oryour violation of the rights of another person or entity.

22. Availability and regional terms

The Services may not be available in all countries or regions. We may limit availability or features by country, region, device, platform, age, account type, or legal requirement.If you access the Services from outside the United States, you are responsible for ensuring that your use is permitted under applicable local law.Where mandatory consumer, privacy, child-protection, or data-protection laws apply, nothing in these Terms limits rights that cannot legally be waived.
